Terms of Service

These Terms of Service ("Terms") govern your use of the productized consulting services provided by Proof, operating from Colorado, United States (https://nulldefect.com), including Platform Automation Kickstart, Fractional Platform Security Engineer, and Proof Advisory. By engaging our services, you agree to these Terms.
1. Services
Proof provides platform security consulting services for startups and SMBs, as described below:
- Platform Automation Kickstart ($999 one-time fee): Delivers Terraform scripts, Kubernetes configs, hardened Docker setups, and a setup guide within one month. Includes 30 days of email support post-deployment. Proof will work to resolve any issues with deliverables post-deployment until resolved, provided issues are within the scope of the service.
- Fractional Platform Security Engineer ($3,499/month, 3-month minimum): Provides monthly audits, one high-impact solution (e.g., secure IAM configs), and handoff docs.
- Proof Advisory ($749 one-time fee): Includes a one-hour expert session and a concise action plan, with 7 days of email support post-session.
Proof will work to achieve the level of compliance requested by clients (e.g., SOC 2, ISO 27001) but does not guarantee 100% compliance with customer-specific regulatory requirements, as outcomes depend on client systems and implementation.
2. Client Responsibilities
Clients must:
- Provide accurate, complete, and timely information, including access to systems or data, as needed to deliver services.
- Implement deliverables or recommendations correctly to achieve intended outcomes.
- Comply with third-party terms for tools used in service delivery (e.g., Stripe, Cal.com).
3. Payment
Payments are processed via Stripe and due as follows:
- Platform Automation Kickstart: Full payment ($999) due upon booking.
- Fractional Platform Security Engineer: Monthly payment ($3,499) due at the start of each month.
- Proof Advisory: Full payment ($749) due upon booking.
Late payments may incur a 5% fee per week. Non-payment may result in suspension or termination of services.
4. Refunds and Cancellations
Refunds are subject to the following:
- Monthly Subscription (Fractional Platform Security Engineer):
- Eligible for a 50% refund if cancellation is requested within the first 15 days of the billing cycle
- No refunds for cancellations after the 15-day period
- The 15-day period starts on the first day of each billing cycle
- Refunds will be processed through the original payment method
- Refund processing time: 5-7 business days
- This policy applies to month-to-month subscriptions only
- Platform Automation Kickstart: No refunds after service commencement, except for unresolved issues within scope, as described in Section 1.
- Proof Advisory: No refunds after the session is scheduled.

5. Intellectual Property
Deliverables (e.g., scripts, configs, action plans) are licensed to clients for their internal use only. Clients may not resell, distribute, or modify deliverables without written consent. Proof retains ownership of all logos, trademarks, and proprietary materials, which are protected by copyright and trademark laws.
6. Limitation of Liability
Proof is not liable for any direct, indirect, incidental, or consequential damages arising from the use of our services or deliverables, including but not limited to loss of profits, data, or business opportunities. Our liability is limited to the amount paid for the service.
7. Termination
Either party may terminate services with 30 days' written notice, subject to refund policies in Section 4. Proof may terminate immediately for non-payment, breach of these Terms, or misuse of deliverables.
8. Dispute Resolution
Disputes shall be resolved through good-faith negotiation. If unresolved, disputes will be subject to binding arbitration in Colorado, United States, under the rules of the American Arbitration Association (AAA). Governing law is the law of the State of Colorado.
9. Changes to Terms
We may update these Terms periodically. Clients will be notified of significant changes via email or website notice.
